Legal Disclaimer for IMDG Services

This Legal Disclaimer (“Disclaimer”) governs all services provided by IMDG, including but not limited to construction takeoffs, cost estimates, business cost analysis, and related consultancy services. By engaging or utilizing any services from IMDG, the client expressly acknowledges, understands, and agrees to the following terms and conditions.

1. Purpose and Nature of Estimates

All estimates, takeoffs, and business cost analyses (“Estimates”) provided by IMDG are created solely for informational and planning purposes. They are based on information available at the time of preparation and reflect assumptions regarding materials, labor, market conditions, and scope of work. These estimates are preliminary in nature and are not intended to serve as a definitive representation of actual or final project costs.

IMDG makes no warranties or guarantees, express or implied, as to the accuracy, completeness, or reliability of the information provided. Estimates are subject to change based on various internal and external factors, including but not limited to:

• Client revisions or incomplete data

• Fluctuations in market prices and labor rates

• Regulatory or code changes

• Unforeseen project conditions

• Updates to scope or materials

2. Client Review and Verification

It is the sole responsibility of the client (or their designated representatives) to review and verify all estimates, takeoffs, and cost analyses. IMDG recommends the client perform the

following before using any Estimate for:

• Submitting a bid or proposal

• Entering into a construction contract

• Making any financial or operational decisions

The client must ensure the Estimates align with the project’s specifications, plans, scope, and local regulatory requirements. Clients are also encouraged to consult with appropriate

professionals (e.g., engineers, estimators, contractors) for independent verification.

3. No Guarantee of Final Costs

IMDG does not guarantee that any Estimates will reflect actual final project costs. The actual cost of a project is influenced by numerous variables beyond IMDG’s control, including:

• Supplier and subcontractor negotiations

• Material availability and market volatility

• On-site conditions or construction changes

• Economic or legal developments affecting the industry

The client agrees that any reliance on the Estimates is at their own risk and accepts that discrepancies between the Estimate and actual project costs are not the responsibility of

IMDG.

4. Limitation of Liability

To the maximum extent permitted by applicable law, IMDG, its officers, employees, affiliates, and subcontractors shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to:

• Loss of profit or income

• Delays in construction or project start

• Business interruption

• Damage to property

• Reputational harm

• Costs associated with legal or contractual disputes

IMDG’s maximum aggregate liability under any circumstances shall be limited to the total fees paid by the client to IMDG for the specific service giving rise to the claim.

The client agrees to indemnify and hold harmless IMDG from any claims, disputes, losses, or liabilities arising from the use of its services, including third-party claims related

to Estimates or takeoffs.

5. Independent Decision-Making

The client acknowledges that all decisions related to bidding, pricing, contracting, or financial planning are made independently and at the client’s own discretion. IMDG

does not provide legal, engineering, financial, or architectural advice, and nothing in the estimates or accompanying services should be construed as such. Clients are strongly encouraged to consult with licensed professionals, including:

• Attorneys for contract and legal review

• Accountants or financial advisors for budgeting

• Engineers or architects for scope and compliance

IMDG shall not be responsible for the outcome of any decision made using its estimates or analysis.

6. Use of Third-Party Information

IMDG may include or rely upon information from third-party sources, including pricing databases, supplier quotes, and subcontractor rates. While IMDG exercises reasonable

care, it does not independently verify all third-party information and makes no guarantees as to its accuracy, timeliness, or applicability. The client agrees that IMDG shall not be held liable for any inaccuracies or adverse consequences arising from the use of third-party data included in its Estimates.

7. Final Responsibility for Cost Management

The client bears ultimate responsibility for the accuracy and appropriateness of all

Estimates and analyses. IMDG encourages clients to:

• Solicit multiple quotes from vendors and contractors

• Verify quantities and specifications against design plans

• Regularly update budget projections

• Monitor market trends that may affect costs

The client is advised to use IMDG’s services as one of several resources, not as the sole determinant of project viability or budget.

8. Right to Revise and Update Estimates

IMDG reserves the right to revise, amend, or update any previously issued Estimates, takeoffs, or cost analyses if:

• The project scope changes

• Market conditions fluctuate

• New information becomes available

• Errors or omissions are identified

Clients are encouraged to request updated Estimates when project details evolve. IMDG does not assume responsibility for outdated or previously issued documentation once

project conditions have materially changed.

9. Applicability to All Work – Past, Present, and Future

This Disclaimer and its terms shall apply universally and without limitation to:

• All past services provided by IMDG

• All current ongoing services

• All future services to be rendered

This includes, but is not limited to, all estimates, reports, takeoffs, cost analyses, consultations, and communications—regardless of whether they were verbal, written, informal, or formal.

By continuing to engage IMDG or using any past or future deliverables, the client reaffirms their acceptance of this Disclaimer in its entirety, unless explicitly superseded by a

mutually executed written agreement.
