Legal Disclaimer for IMDG Services

By engaging IMDG to provide services including, but not limited to, construction takeoffs, cost estimates, business or project cost analysis, consulting, and owner’s representative services, the client acknowledges and agrees to the following terms and conditions:

1. Nature of Estimates and Takeoffs

All construction takeoffs, estimates, and cost analyses prepared by IMDG are based on information available at the time of preparation and are provided for general informational and planning purposes only. IMDG makes no representations or warranties, express or implied, regarding the accuracy, completeness, or reliability of any quantities, pricing, or analyses provided.

All estimates are preliminary in nature and should not be relied upon as final, guaranteed, or binding. Actual project costs may vary due to factors including, but not limited to, changes in scope, site conditions, market fluctuations, labor availability, material pricing, construction means and methods, and information obtained after the estimate is prepared.

2. Client Review and Verification

The client is solely responsible for reviewing, verifying, and validating all takeoff quantities, cost estimates, and analyses prior to any use, including bid submission, contract execution, or business decision-making. IMDG strongly recommends that the client confirm all quantities, assumptions, rates, and scope alignment with project documents, specifications, and field conditions.

3. No Responsibility for Final Pricing

IMDG shall not be responsible for any differences between estimated costs and final project pricing. Final costs are influenced by variables outside IMDG’s control, including negotiations, contractor pricing strategies, subcontractor quotes, labor and material market conditions, and unforeseen circumstances. IMDG does not guarantee final project costs or pricing outcomes.

4. Limitation of Liability

To the fullest extent permitted by law, IMDG shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to the use of its services. This includes, without limitation, loss of profits, project delays, cost overruns, property damage, or claims by third parties.

The client agrees to indemnify and hold harmless IMDG from any claims, damages, liabilities, or costs resulting from the client’s use or reliance on IMDG’s takeoffs, estimates, or analyses.

5. Limitation of Liability for Consultation Services

IMDG may provide consulting, advisory, or owner’s representative services, including verbal guidance, written recommendations, opinions, analyses, or strategic input related to construction costs, schedules, sequencing, risk mitigation, procurement, or project execution. All such consultation services are provided as professional guidance only and do not constitute engineering, architectural, legal, or financial advice.

The client acknowledges that IMDG does not control contractors, subcontractors, suppliers, labor forces, construction means and methods, site safety, or field execution. Accordingly, IMDG shall not be responsible for project outcomes, construction performance, safety conditions, code compliance, cost overruns, delays, or damages arising from or related to the implementation or interpretation of consultation services.

Any decisions made or actions taken based on IMDG’s consultation services are made at the sole discretion and responsibility of the client. To the fullest extent permitted by law, IMDG’s liability for any claim arising from consultation services shall be limited to the fees paid to IMDG for the specific consultation services giving rise to the claim.

6. Independent Decision-Making

All decisions made based on IMDG’s services are made at the sole discretion and responsibility of the client. IMDG does not warrant or guarantee project success, profitability, or cost performance. Clients are encouraged to seek independent legal, financial, engineering, or construction advice prior to making final project decisions.

7. Third-Party Data and Information

IMDG estimates or analyses may incorporate third-party pricing, production rates, or cost data. IMDG does not verify or endorse the accuracy of third-party information and assumes no responsibility for errors or omissions in such data.

8. Final Responsibility for Project Costs

The client retains full responsibility for ensuring the accuracy and suitability of all project estimates, takeoffs, and cost analyses. IMDG recommends obtaining multiple bids, conducting independent reviews, and consulting qualified professionals before entering into any financial or contractual commitments.

9. Revisions and Updates

IMDG reserves the right to revise or update estimates, takeoffs, analyses, or consultation assumptions if project scope, conditions, or market factors change. Updated services should be requested when material changes occur.

By utilizing IMDG’s services, the client confirms that they have read, understood, and agreed to this disclaimer, including all limitations of liability and responsibilities outlined herein.
